Michelle Kramish Kain Jay Valinsky
Michelle Kramish Kain concentrates her law practice primarily in the area of securities law. Ms. Kain graduated from the University of Florida (B.A. 1975), Nova University Law School (J.D. 1978) and The National Law Center of The George Washington University, Washington, D.C. (LLM. 1987). Her Master of Laws degree is in corporate law with special concentration in securities. Ms. Kain's thesis was titled "Shareholder Derivative Litigation: The Role of the Special Litigation Committee."

Ms. Kain has practiced exclusively in the area of corporate and securities law since 1987 as both an associate and partner at several south Florida law firms. From 1990 to 1993 she was a senior associate at Atlas, Pearlman & Trop in Fort Lauderdale, Florida. In February, 1993 she co-founded the Fort Lauderdale, Florida law firm of Kipnis Tescher Lippman Valinsky & Kain, a boutique firm which concentrated its practice in the areas of corporate and securities transactions, securities arbitration and litigation and commercial litigation. Ms. Kain resigned from Kipnis Tescher Lippman Valinsky & Kain, P.A. in August, 1997 to establish her own firm. In January, 2005, she and Jay Valinsky became partners once again in Kain & Valinsky, P.A.

Ms. Kain's current practice encompasses a wide variety of corporate and securities law sub-specialties, including, among others, continuing general representation of growing private and public companies; all stages of capital formation transactions, from venture capital and private placements to initial and secondary public offerings (for issuers and underwriters); periodic Securities and Exchange Commission (SEC) reporting requirements; state blue sky compliance; National Association of Securities Dealers, Inc. (NASD) and stock exchange listings and regulation; and state and federal securities administrative investigations and proceedings. She assists businesses and owners by working closely with investment bankers, business and financial consultants, accountants and other professionals and acts as a legal consultant on business financing issues for development stage and emerging growth companies.

Ms. Kain is admitted to practice in Florida and the District of Columbia. Her clients are located and conduct business throughout the United States, Europe, Asia and Latin America.

Jay Valinsky’s concentration throughout his professional career has been and continues to be in the areas of corporate and securities transactions, including but not limited to public offerings, private placements, public company filings under the Securities Exchange Act of 1934, and broker-dealer issues. His current practice includes a wide range of public and private company clients offering various products and services.

From March, 1980 through February, 1986, Mr. Valinsky was associate general counsel for Bear Stearns & Co., Inc., New York, NY. In March, 1986, he joined Atlas, Pearlman & Trop, P.A., Fort Lauderdale, Florida. where he was a senior associate from 1986 through 1989 and then became a partner in such firm. In early 1993, Mr. Valinsky joined as a partner in the start-up of the firm Kipnis Tescher Lippman Valinsky & Kain, P.A. in Fort Lauderdale, Florida where he continued his practice through December, 2004. In January, 2005, he joined Michelle Kain, his former parter from Kipnis Tescher Lippman Valinsky & Kain, P.A., as a partner in Kain & Valinksy, P.A.

He has provided expert witness testimony in several state administrative proceedings pertaining to federal and state securities registration matters as well as in federal district court pertaining to certain corporate matters. Mr. Valinsky also serves as an arbitrator for the National Association of Securities Dealers, Inc.

Mr. Valinsky received a J.D. from Albany Law School, Albany, NY in 1979, after having completed his final year of law school at Fordham Law School, New York, NY as a visiting student, and received a B.A. from the State University of New York at Binghamton in 1976.
